Terms of Service
These terms are the agreement between NGOsoftware ("NGOsoftware", "we") and the organisation that uses NGOsoftware ("the customer", "you"). The customer's Admin accepts them for the organisation at first sign-in. A signed Pilot or Subscription Agreement takes priority over these terms where they differ.
1. The service
NGOsoftware is an online portal for NGOs: projects, donors, budgets, invoices, documents, reports and the other modules switched on for your organisation. It runs in the browser at your own address (for example yourngo.ngosoftware.app). We host it, keep it secure and update it. We may improve the portal, but we will not remove a core function (projects, donors, invoices, documents, reports) during a period you have paid for.
2. Plans, pilot and users

The pilot is free, lasts one month and ends automatically; there is no obligation to subscribe. Each user account belongs to one named person and may not be shared. Accounts that are turned off do not count. To add more users than your plan allows, move to a larger plan.
3. Fees and payment
Fees are paid in advance for each month or year, in US dollars. Yearly payment is 10 months' price for 12 months. We issue a receipt for every payment. Bank and transfer charges are paid by the customer. If a payment is more than 30 days late, we may suspend access after giving 7 days' written notice; your data is kept and access returns when the payment is made. We announce price changes at least 60 days ahead; they never apply to a period already paid.
4. Your data
Everything your organisation enters stays your property. We use it only to provide the portal to you, as described in the Data Processing terms. Our staff do not open your records except at your request for support, to keep the service secure, or when the law requires it. You can download your data as spreadsheets at any time.
5. Your responsibilities
- Keep passwords private and turn off the accounts of staff who leave.
- Only enter personal data you are allowed to hold, with consent where it is needed, especially for beneficiaries and children.
- Check figures, documents and policy templates before you send them to donors or authorities. Policy templates are a starting point, not legal advice.
- Decide who may apply e-signatures and stamps; you are responsible for documents issued under them.
- Follow the Acceptable Use Policy.
6. Availability and support
We aim for the portal to be available 99% of each month, excluding announced maintenance, and we keep regular backups. We cannot promise that it will never be interrupted, so download your own copy of important data regularly. Support is by email and WhatsApp on working days.
7. Confidentiality
Each side keeps the other's non-public information confidential, during the agreement and for 3 years after it ends.
8. Ending the service
You can stop at any time; the service ends at the end of the period you have paid for, and fees already paid are not refunded. We may end the service with 30 days' notice, refunding any unused months, or immediately if the Acceptable Use Policy is seriously broken. After the end you can export your data for 30 days; we then delete it within 30 days, and from backups within a further 60 days.
9. Liability
Neither side is liable for indirect losses, such as lost funding or lost profit. Our total liability in any 12 months is limited to the fees you paid in those 12 months. These limits do not apply to fraud or wilful misconduct.
10. Changes to these terms
We will tell you at least 30 days before changing these terms. Your Admin will be asked to accept the new version when they next sign in.
11. Law and disputes
These terms are governed by the laws of the Federal Republic of Somalia. We will first try to settle any dispute together for 30 days; failing that, the competent courts of Mogadishu have jurisdiction.
